1. Introduction
These Terms & Conditions ("Terms") govern your access to and use of the website, and the purchase of any products, offered by Spruce & Co. ("Spruce & Co.", "we", "us", or "our"), including products sold under the Multi Cleaner brand. By placing an order or otherwise using our site, you agree to be bound by these Terms. If you do not agree, you must not use our site or purchase our products.
2. Products, Pricing & Availability
We make reasonable efforts to display our products, including descriptions, images, and pricing, as accurately as possible. However, we do not warrant that product descriptions, images, or other content on our site are accurate, complete, reliable, current, or error-free. Prices are subject to change without notice. We reserve the right to limit quantities, refuse or cancel any order, and discontinue any product at any time, at our sole discretion.
3. Orders & Payment
By placing an order, you confirm that all information you provide is accurate and complete, and that you are authorized to use the payment method provided. We reserve the right to refuse or cancel any order for any reason, including suspected fraud, pricing errors, or unavailability of stock. Orders are only confirmed once payment has been successfully processed.
4. Shipping & Delivery
We aim to dispatch orders promptly. Estimated delivery times are:
- United States: approximately 5 business days
- International: approximately 5–12 business days
These are estimates only and are not guaranteed. Delivery times may vary due to customs processing, carrier delays, or circumstances outside our control. Risk of loss and title to products pass to you upon our delivery to the shipping carrier.
5. Returns, Refunds & Exchanges
We do not maintain a physical returns address, and we are unable to accept physical returns of any product.
Once a product has been opened or used, it cannot be returned, exchanged, or refunded, due to the hygienic and consumable nature of our cleaning products.
If you receive a product that is damaged, defective, or incorrect, please contact our support team as soon as possible after delivery, together with photographic evidence of the issue. We will review each case individually and may, at our sole discretion, offer a replacement, store credit, or refund, without requiring the product to be shipped back to us. This clause does not affect any statutory rights you may have under the mandatory consumer protection laws of your country of residence that cannot be lawfully excluded (see Section 11).
6. Subscribe & Save Subscriptions
Certain products may be purchased on a recurring subscription basis (“Subscribe & Save”). By enrolling in a subscription, you agree to the following:
- Initial term: every subscription runs for a fixed initial term of three (3) months from the date of your first payment (“Initial Term”). The subscription cannot be cancelled during the Initial Term.
- Automatic renewal: after the Initial Term, your subscription automatically renews on a rolling monthly basis unless cancelled in accordance with this Section.
- Cancellation notice: to cancel and prevent the next automatic renewal, you must submit your cancellation request at least fourteen (14) days before the end of the then-current monthly billing period. Cancellation requests received after this deadline will take effect at the end of the following billing period, and you will be charged and shipped one additional cycle.
- Billing: you authorize us to charge your chosen payment method automatically at the start of each renewal period until the subscription is cancelled in accordance with these Terms.
Section 5 (Returns, Refunds & Exchanges) applies equally to products received through a subscription.
7. Intellectual Property
All content on our site, including text, graphics, logos, images, and software, is the property of Spruce & Co. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on our site without our prior written consent.
8. Disclaimer of Warranties
Our products and site are provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by applicable law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for following any product usage instructions provided with your order.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Spruce & Co. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of our site or products. Our total aggregate liability to you for any claim arising from your order shall not exceed the amount you paid for the product(s) giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless Spruce & Co., its owners, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of our products or your breach of these Terms.
11. Governing Law & Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to conflict-of-law principles.
Before initiating any formal claim or legal proceeding, you agree to first contact us and attempt to resolve the dispute informally by describing the issue and the resolution you are seeking. Any dispute that cannot be resolved informally within a reasonable time shall be submitted to the exclusive jurisdiction of the competent courts of the Republic of Ghana, and you agree to submit to the personal jurisdiction of those courts.
Important note on enforceability: a clause that simply states customers “may not sue” a business is not enforceable in most jurisdictions and has therefore not been used here. What has been drafted instead — Ghanaian governing law plus exclusive Ghanaian jurisdiction — is the standard, legally recognized way to achieve the same practical effect (making it costly and impractical for a customer to bring a claim outside Ghana). Be aware, however, that if you knowingly and regularly sell to consumers in the European Union, EU consumer-protection law generally allows EU consumers to bring claims in the courts of their own country regardless of a foreign jurisdiction clause, and separately gives them a mandatory 14-day right of withdrawal on most online purchases that cannot be waived by contract. A foreign jurisdiction clause is more likely to be effective for US and other non-EU customers. A lawyer can advise on the specific exposure for your customer base and on additional disclosures (for example, an EU-facing withdrawal-rights notice) you may be required to provide.
12. Changes to These Terms
We may update these Terms from time to time. The updated version will be indicated by a revised “Last updated” date and will be effective as soon as it is posted. Your continued use of our site after any changes constitutes your acceptance of the revised Terms.
